Synergy Mastermind Terms & Conditions

These Terms & Conditions are made between REI Education Mastermind LTD (“Synergy Mastermind”), a company duly incorporated under the laws of British Columbia, and the undersigned participant (the “Participant”).

The Participant wishes to receive, and Synergy Mastermind wishes to provide, coaching, networking and planning assistance as it pertains to researching, investing in and managing real estate property(ies) over the course of a 10-month period (the “Program”).

TERMS, CONDITIONS, & POLICIES: By agreeing to these terms & conditions, the Participant hereby agrees to abide by and accepts Synergy Mastermind’s terms and conditions as established and in effect from time-to-time. The Participant further agrees to abide by all policies, guidelines or rules established by Synergy Mastermind from time to time.

1. ETIQUETTE:

The Participant agrees to abide by Synergy Mastermind’s Code of Conduct (see below):

Purpose

Synergy Mastermind believes its community should be truly open for everyone. As such, Synergy Mastermind is committed to providing a friendly, safe and welcoming environment for all, without regard to race, color, religion, national origin, age, sex, marital status, ancestry, physical or mental disability, gender identity, or sexual orientation.

This Code of Conduct, which applies to each Participant’s participation in the Program, outlines Synergy Mastermind’s expectations for Participant behavior as well as the consequences for unacceptable behavior.

Synergy Mastermind invites all Participants, sponsors, volunteers, speakers, event attendees, and other participants to help it realize a safe and positive community experience for everyone.

A. Expected Behavior

Your participation in the Program will provide you with opportunities to interact with and connect with the Program providers, guest speakers and other participants. Your participation must not violate or infringe the rights of third-parties or constitute illegal, vulgar, obscene or otherwise objectionable behaviour. As a general guide, you should:

    • Be considerate, respectful, and collaborative.
    • Refrain from demeaning, discriminatory or harassing behavior and speech.
    • Be mindful of your surroundings, your fellow community members and other participants.
    • Refrain from attending any Program event while under the influence of alcohol or drugs. What you do on your own time is up to you and any socialization after a Program event has concluded (which may include socializing with other participants, speakers or the Program providers) is at your discretion.
    • Alert community organizers if you notice a dangerous situation or someone in distress.
    • Participate in an authentic and active way. In doing so, you help to create the Synergy Mastermind community and make it your own.
    • Give more than you take.

B. Unacceptable Behavior

Unacceptable behavior includes, but is not limited to:

    • intimidating, harassing, abusive, discriminatory, derogatory or demeaning conduct;
    • marketing your own company products or services to other participants during the Program (including, but not limited to, “spamming” participants, speakers or the Program providers);
    • making audio or video recordings of any part of the Program or of any other participant, without consent;
    • being under the influence of alcohol or drugs while participating in the Program;
    • distributing any Program materials or content to third-parties

Harassment includes: offensive verbal comments related to gender, sexual orientation, race, religion, disability; inappropriate use of nudity and/or sexual images in public spaces (including presentation slides); deliberate intimidation, stalking or following; in addition and in the case of in-person events: harassing photography or recording; sustained disruption of talks or other events; inappropriate physical contact, and unwelcome sexual attention.

C. Consequences of Unacceptable Behavior

Unacceptable behavior by any participant, speaker, administrator, venue staff or sponsor of a Program event will not be tolerated, whether such behaviour is exhibited in-person or by electronic means.

Anyone exhibiting unacceptable behavior will be asked to cease such behaviour immediately. If a participant engages in unacceptable behavior, Synergy Mastermind may take any action they deem appropriate, up to and including expulsion from the Program without warning or refund of the Program Fee.

D. What to do if You Witness or are Subject to Unacceptable Behavior

If you are subjected to unacceptable behavior, notice that someone else is being subject to unacceptable behavior, or have any other concerns, please notify a community organizer as soon as possible or report the incident via email if the incident was online. You can email us at info@synergymastermind.ca.

The Synergy Mastermind team will be available to help participants contact venue security or local law enforcement, to provide escorts, or to otherwise assist those experiencing unacceptable behavior to feel safe in the community.

E. Scope

We expect all community members, sponsors, volunteers, speakers, attendees, and other guests to abide by this code of conduct at all venues and related social events, as well as in our online group and events.

2. TERM

These terms & conditions shall take effect immediately and shall continue in full force and effect until the end of the Program.

3. INCLUDED COMPONENTS

Except as otherwise set out in these terms & conditions, the Program shall include the following components:

  • 30 virtual meetups over the course of the program;
  • *Three 3-day live events with training and team activities;
  • Access to our entire team of professionals and rolodex of experts;
  • Access to the Synergy Mastermind private Facebook group, Discord Channels & Member Portal;

The Participant acknowledges and agrees that unless otherwise specified by Synergy Mastermind, the Program Fee does not include the Participant’s travel, accommodation or meal costs that may arise in connection with attending any in-person Program event, including but not limited to the live events.

* The Participant acknowledges and agrees that while Synergy Mastermind will make its best commercial efforts to hold all in-person events as scheduled, it reserves the right to postpone any such event or to hold any scheduled event in an electronic attendance format instead, if it becomes necessary to do so due to Covid-19 or other events out of our control. For greater certainty, Synergy Mastermind may make any changes it deems necessary or advisable to a scheduled in-person event in order to ensure compliance with any governmental orders, advisories, directives or guidelines issued in respect of Covid-19 or other events out of our control. 

4. PROGRAM FEE

If the Participant has selected the Upfront Payment option, the Program Fee shall be due immediately upon the Participant completing its registration for the Program. If the Participant has selected the Payment Plan option, payment shall be paid in 4 equal payments with the first installment due immediately following your acceptance into the program.

The Participant agrees that, subject to paragraph 13 of these terms & conditions, Program Fees are non-refundable once paid, including in the event that the Participant ceases to participate in the Program.

5. INVOICING

All invoices are due within 7 days (unless otherwise noted), after which interest will accrue at the rate as posted on the invoice from time to time.

6. DECLINED CHARGES

In the event that any payments are declined, a $30.00 service charge will be charged to the Participant in addition to the Program Fee (or portion thereof) payable at such time.

7. INTELLECTUAL PROPERTY

The Participant acknowledges and agrees that the Program and all associated content, information and materials are intended for the Participant’s personal use and not for any other purpose. All ownership rights in the intellectual property related to the Program shall remain with Synergy Mastermind and its licensors. The material in the Program is covered by copyright and other applicable laws, policies, regulations and agreements that address intellectual property rights. Except as granted in the limited license, any use of the Program content or materials, including modification, transmission, presentation, distribution, republication, or other exploitation of the Program, whether in whole or in part, is prohibited without the prior written consent of Synergy Mastermind. The Participant may not use or reproduce any of the Program content (including but not limited to by film or sound recording) in any manner, without the express written consent of Synergy Mastermind.

8. TERMINATION

Synergy Mastermind reserves the right to terminate the Participant’s registration and participation in the Program in the event that the Participant fails to comply with these terms & conditions or any other terms & conditions communicated to the Participant. The Participant acknowledges that it is not entitled to any refund of the Program Fee, in whole or in part, in the event of such termination.

9. INFORMATION, NOT ADVICE

Each Participant acknowledges and agrees that all content, information and services provided to it by Synergy Mastermind and its directors, officers, employees, contractors and licensors, in connection with the Program is for general information only. The Participant understands that all such content, information and services do not constitute professional personal, accounting, financial, real estate or legal advice and none of the information contained in or provided in connection with the Program should be confused for or be considered a substitute for such professional advice. Sample allocations, portfolios and strategies are intended to educate and inform and should not be viewed as direct recommendations.  Synergy Mastermind and its directors, officers, employees, contractors and licensors cannot and do not assess or guarantee the suitability or profitability of any particular investment or the potential value of any investment.

10. NO WARRANTY & LIMITED LIABILITY

Each Participant acknowledges and agrees that the content, information and services provided by Synergy Mastermind and its directors, officers, employees, contractors and licensors is being provided “as is” without warranty of any kind, either express or implied and that the Participant’s use of and/or reliance on all or any part of such information or services is entirely at the Participant’s own risk. The Participant further understands that it is the Participant’s responsibility to consult a licensed financial or tax advisor, legal counsel or real estate professional before making any investment decisions.

Synergy mastermind and its directors, officers, employees, contractors and licensors shall have no liability with respect to the Program or any content, information or services provided to the Participant, whether based on warranty, contract, tort, negligence, or any other legal theory, for damages or losses of any kind (including but not limited to any direct, indirect, special, punitive, incidental, exemplary or consequential damages, loss of data, loss of business, loss of investment, fines, fees, illness, personal injury, death, penalties or financial loss, even if advised of the possibility thereof. The Participant agrees that its sole remedy for any claim, loss, damage, costs or expense shall be the program fee paid by it upon registration.

11. COVID-19

Each participant acknowledges and agrees that there is an inherent risk of exposure to covid-19 by attending any in-person event offered in connection with the program. Each participant expressly acknowledges and agrees that it is willing to accept this risk as a condition of attending any in-person events offered in connection with the program, including but not limited to the retreats. each participant expressly agrees to release synergy mastermind, its directors, officers, employees, consultants or licensors, from and against any and all causes of action, claims, demands, requests, damages or other liability whatsoever in respect of any personal injury or other damages which may occur or arise as a result of exposure to covid-19 resulting from the participant’s attendance of any program event. Each participant agrees that synergy mastermind and its directors, officers, employees, consultants and licensors can rely on this clause as a complete defence to any and all claims, damages, causes of action or liability that may arise.

12. INDEMNITY

Each Participant hereby agrees to indemnify and hold harmless Synergy Mastermind and its directors, officers, employees, consultants, or licensors from and against any claims, losses, judgments, damages, costs and expenses (including without limitation, reasonable legal fees) incurred by any of them due to or resulting from the Participant’s participation in the Program or otherwise relating to this Agreement (including any breach by the Participant thereof). You agree to also indemnify and hold harmless Synergy Mastermind and its directors, officers, employees, consultants, or licensors from and against any claims brought by third parties arising out of the Participant’s participation in the Program or its use of the content and information provided therein. Each Participant agrees that Synergy Mastermind shall be able to select its own legal counsel and may participate in its own defense, in its sole discretion.

13. MONEY BACK GUARANTEE

If, upon attending the 1st live event, the Participant is unsatisfied with the Program being provided by Synergy Mastermind, they may, at their option, in writing, request a partial refund of fees paid within 24 hours of the final day of the retreat. In the event that the Participant does not meet the foregoing criteria, no refund shall be paid. The refund amount to be returned will be the program cost, less the payment plan fee (if applicable) and our fixed costs of $2500 for expenses endured. This refund will be processed to the original payment method within 24 hours of the request.

14. PERMISSION

Each Participant hereby gives Synergy Mastermind permission to use its name and images for any purposes in connection with promoting Synergy Mastermind and its services, which may include advertising, promotion and marketing. Each Participant agrees that Synergy Mastermind may crop, alter or modify any images and combine such images with other images, text, audio recordings and graphics without notifying the Participant.

15. ENTIRE AGREEMENT

These terms & conditions contains the whole agreement between the parties in respect of the subject matters hereof and there are no representations, terms, conditions or collateral agreements, express, implied or statutory, other than as expressly set forth in this Agreement and this Agreement supersedes all of the terms of any written or oral agreement or understanding between the parties.

16. AMENDMENT

No amendment, modification, supplement, termination or waiver of any provision of these terms & conditions will be effective unless in writing signed by the appropriate party and then only in the specific instance and for the specific purpose given.

17. WAIVER:

Any failure of Synergy Mastermind to insist upon or enforce the strict performance of any provision of these terms & conditions will not be construed as a waiver of any provisions or right.

18. SEVERABILITY

If any of the provisions contained in these terms & conditions are determined to be void, invalid or otherwise unenforceable by an arbitrator or court of competent jurisdiction, such determination shall not affect the remaining provisions contained herein or the affected provision in a jurisdiction outside the jurisdiction of such court.

19. ENUREMENT

These terms & conditions shall be binding upon all parties and their heirs, successors, personal representatives, and permitted assigns.

20. GOVERNING LAW

These terms & conditions shall be governed by and construed in accordance with the laws of the Province of British Columbia. These laws apply to your participation in, and use of, the Course and the information and services provided to you by Synergy Mastermind, notwithstanding any conflicts of laws principles, your domicile, residence or physical location. You hereby consent and submit to the exclusive jurisdiction of the courts of the province of British Columbia with respect to any legal proceeding related to the Site and agree not to commence any such proceeding except in Victoria, British Columbia, Canada.

21. LEGAL ADVICE

Each Participant acknowledges and agrees that it has had the opportunity to obtain independent legal advice prior to the execution of these terms & conditions and sought such advice to the extent it desired to do so. Each Participant further acknowledges and agrees that it understands the nature and contents of these terms & conditions, and that have executed this Agreement, freely and voluntarily.
